Cortex Terms of Use

This Terms of Use agreement ("Terms") is a legal agreement between n6i B.V. ("we," "us," or "our"), a company registered in The Netherlands with a registered address at Weena 690, 3012CN Rotterdam, and the business entity you represent ("Customer" or "you").

By accessing or using the Cortex application (the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of the Service

Cortex is an enterprise software solution designed for knowledge preservation. The Service allows the Customer to upload documents and meeting transcripts ("Customer Content") to a private knowledge base and enables authorized end-users to ask questions and receive AI-generated answers based on this content.

2. User Accounts and Responsibilities

• Customer's Responsibility: The Customer is responsible for managing all end-user accounts associated with its organization. This includes adding or removing users and ensuring that all end-users comply with these Terms.
• End-User's Responsibility: All end-users must keep their login credentials confidential and are responsible for all activities that occur under their accounts. The Customer agrees to notify us immediately of any unauthorized use of an account.

3. Customer Content and Intellectual Property

• Ownership: The Customer retains all ownership rights, title, and interest in and to all Customer Content uploaded to the Service. We do not claim any ownership over your data.
• Limited License: By uploading Customer Content, you grant n6i B.V. a worldwide, non-exclusive, royalty-free license to host, process, display, and use the Customer Content solely for the purpose of providing and maintaining the Service for you and your end-users.
• Customer's Responsibility for Content: The Customer is solely responsible for the accuracy, legality, and appropriateness of all Customer Content. You represent and warrant that you have all necessary rights to upload the Customer Content and that it does not violate any applicable laws or infringe upon the rights of any third party.

4. Acceptable Use Policy

You and your end-users agree not to use the Service to:

• Upload, post, or transmit any content that is unlawful, harmful, defamatory, obscene, or infringing on intellectual property rights.
• Attempt to decompile, reverse-engineer, or otherwise discover the source code of the Service.
• Disrupt the integrity or performance of the Service or the data contained therein.
• Attempt to gain unauthorized access to the Service or its related systems.
• Use the Service in violation of any applicable laws or regulations.

We reserve the right to suspend access to the Service for any account that is found to be in violation of this policy.

5. Commercial Terms

The use of Cortex is governed by a separate commercial agreement executed between n6i B.V. and the Customer. That agreement details the subscription term, fees, payment obligations, service levels, and other specific commercial terms. In case of any conflict between these Terms of Use and the commercial agreement, the commercial agreement shall prevail.

6. Limitation of Liability

• "As-Is" Service: TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
• Exclusion of Indirect Damages: IN NO EVENT SHALL N6I B.V. BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE.
• Liability Cap: EXCEPT AS STATED IN THE COMMERCIAL AGREEMENT, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO N6I B.V. FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. Termination

This agreement may be terminated in accordance with the terms outlined in the commercial agreement between n6i B.V. and the Customer. We may suspend or terminate your access to the Service if you are in material breach of these Terms of Use.

8. Modifications to the Terms

We reserve the right to modify these Terms at any time. We will provide our customers with notice of any material changes via the email address associated with their account. Continued use of the Service after the effective date of the changes constitutes your acceptance of the revised Terms.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of The Netherlands, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Rotterdam, The Netherlands.
